1. Agreement to Terms

By accessing or using the Fordke platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Fordke Ltd. ("Fordke", "we", "us", or "our").

2. Description of Service

Fordke is an AI-powered product and design platform that provides tools for idea validation, UX flow generation, design auditing, and code export. The Service includes web-based applications, APIs, and related documentation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information as needed
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Payment

Paid features of the Service are offered on a subscription basis:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice; changes apply at your next renewal
• Free trials automatically convert to paid subscriptions unless cancelled
• You may cancel your subscription at any time; access continues until the end of the billing period

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to scrape or extract data
• Resell or redistribute the Service without authorization

6. Intellectual Property

Our Property: The Service, including all software, designs, text, graphics, and other content provided by Fordke, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

Your Content: You retain ownership of content you create using the Service. By using the Service, you grant us a limited license to process, store, and display your content solely to provide the Service. Code and designs you export are yours to use as you see fit.

7. AI-Generated Content

The Service uses artificial intelligence to generate designs, code, and suggestions. AI-generated outputs are provided as tools to assist your work. You are responsible for reviewing, modifying, and validating any AI-generated content before use. We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated outputs.

8. Third-Party Integrations

The Service may integrate with third-party services (such as Figma, GitHub, and others). Your use of third-party services is subject to their respective terms of service. We are not responsible for the availability, functionality, or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORDKE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fordke and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination. Provisions that by their nature should survive termination shall survive.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you disagree with any changes, you should stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of England and Wales. You agree to waive any right to participate in class actions.

15. General Provisions

These Terms constitute the entire agreement between you and Fordke regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms; we may assign them freely.
